★ Xinsan Group intends to transfer 4.77% of its shares to China Telecom Investment without compensation

On December 14, 2021, Xinsan Group and China Telecom Group Investment Co., Ltd. signed the "Agreement on Gratuitous Transfer of State-Owned Property Rights", in which Xinsan Group intends to transfer 57,000,000 shares of the Company's shares in the Company held by it to China Telecom Investment without compensation, accounting for 4.77% of the total share capital of the Company. The announcement pointed out that the parties agreed and confirmed that, for the purpose of long-term strategic cooperation between the two parties, the subject shares of the subject party would not be transferred in any form to any third party for three years after the transfer of the subject shares of the parties. The lock-up period for the underlying shares is calculated for three years from the date of delivery (excluding the delivery date).
