On the evening of January 1, 2024, Baidu announced on the Hong Kong Stock Exchange that Moon, a related party of Baidu, terminated the equity acquisition agreement of YY Live in accordance with the previously signed agreement. According to the announcement, on November 16, 2020, Moon signed an equity acquisition agreement with Huanju for YY's live video entertainment business in China, and agreed that if the transaction is not completed by the deadline date, either party to the transaction has the right to terminate the agreement. As of December 31, 2023, the final closing date of the Agreement, the closing conditions set out in the Share Purchase Agreement have not been fully met.

Next, Moon will seek to negotiate with Huanju on the future arrangements of the transaction after the termination of the share purchase agreement and explore a reasonable solution. Analysts believe that the announcement is a normal action due to the expiration of the agreement between the two parties and will not affect the normal operation of YY Live.
