  Party A shall submit a business license and approval certificate for the following product categories: pesticides, books or periodicals, cosmetics, food, health supplements, medical devices, medical treatment, real estate, patents, and veterinary drugs.

  Article 15 Party B is responsible for the procurement of materials and the entry of equipment in accordance with the words and patterns provided by Party A, ensuring quality and quantity, and completing and delivering the equipment on time according to the contract period.

Real Estate Advertising Project Contract 2

  After friendly negotiation, both parties have reached the following agreement on the cooperation in the advertising and promotion of Party A's Carrefour International Commercial Building Project and jointly abide by it: 1. Service content:

  Carrefour International Commercial Building Project Advertising Integration and Promotion Work. Attached is the content of the work items discussed by both parties A and B (see Annex 1, a total of 5 pages).

  2. Service time: one year

  The working hours of this contract will be adjusted accordingly according to the actual implementation time of Party A's project.

  3. Party A's Responsibilities:

  1. Party A shall issue work requirements to Party B in the form of a written "Project Entrustment" (see attachment) as needed;

  2. Party A provides accurate product function information text involved in the work project;

  3. Designate the person in charge of the work project and the person in charge of the project to connect with Party B on behalf of Party A;

  4. Cooperate with Party B to complete the project time objectives and performance objectives set by both parties, if the project is delayed due to Party A's unfavorable cooperation, Party B only bears marginal responsibility;

  5. Party A shall carry out project management in accordance with the "Regulations on the Management of the Brand Management Center" (see Annex III for the management regulations).

  4. Party B's Responsibilities:

  1. Party B shall strictly implement the professional standards and abide by the confidentiality agreement signed by both parties (see Annex 4).

  2. During the period when Party B is responsible for the advertising agency of Party A's project, Party B shall not disclose Party A's trade secrets and any content (including undetermined ideas) planned by Party B for Party A to a third party.

  3. Party B shall carry out project management in accordance with the "Regulations on the Management of the Brand Management Center" (see Annex 3 for the management regulations). 4. Party B shall draw up a stationing manual according to the needs of the work project, and send the working members of the brand group to be stationed at the location of the project. 5. Party B's brand management center shall not serve Party A's competing brands at the same time.

  Fifth, the form of service:

  1. Party A issues the required service content and time in the form of "Project Entrustment", and Party A does not assume any responsibility for the project without the approval of Party A's "Project Entrustment", and Party B may not accept it.

  2. Party B has set up a brand management center in Shenzhen, with no less than 6 people in the brand center (including strategic directors, brand director copywriters, customer personnel, graphic designers and environmental designers, etc.) to provide relevant professional services.

  2. The above advertising service fees do not include production costs and expenses incurred with third parties, such as: printing production, TVC shooting and production, graphic shooting, film output and other costs.

The cost of the round-trip air ticket of Party B's brand service personnel shall be reimbursed by Party A.

  7. Payment Methods:

  1. Within three working days of signing the service agreement, Party A shall pay 30% of the total amount of Party B's advertising service fee, that is, RMB as the first installment;

  2. One week after the project is officially put on sale, Party A shall pay Party B the second phase of advertising services, which shall be 15% of the total amount of advertising service fees of the project, that is, RMB 0 yuan;

  3. Five weeks after the official sale of the project, Party A shall pay Party B the third phase of the advertising service, which shall be 15% of the total amount of the project integration and promotion expenses, that is, RMB 0 (¥ 0 yuan);

  4. Nine weeks after the project is officially put on sale, Party A shall pay Party B the fourth phase of advertising services, which shall be 15% of the total amount of the project integration and promotion expenses, that is, RMB 0 yuan;

  5. Thirteen weeks after the official sale of the project, Party A shall pay Party B the fifth phase of advertising services, which shall be 15% of the total amount of the project integration and promotion expenses, that is, RMB yuan (¥ 00);

  6. The remaining 10% of the advertising service fee of this agreement, that is, the amount of RMB 0 (¥ 0), shall be paid after the expiration of the advertising service period of the project.

  7. Party B's brand center staff will reimburse the air ticket expenses to and from the project location and all over the country to arrange exhibitions and organize conferences every month.

  8. Liability for breach of contract:

  1. If Party B fails to complete the relevant work on time, or has a negative work attitude, Party A has the right to unilaterally terminate the cooperation between the two parties; 2. If Party A fails to pay the design fee on time in accordance with the contract, Party B has the right not to submit the formal publicity design electronic documents and samples, and charge Party A a late fee (0.5%/day of the unpaid amount) according to relevant regulations.

  3. If the work designed by Party B infringes on a third party in terms of copyright, portrait right, copyright, photography right, etc., Party B shall be responsible for all disputes, lawsuits and compensation arising therefrom.

  9. Ownership of intellectual property rights:

  If Party A has signed for the project planning and design service results provided by Party B and has paid the full amount of the project fee, the intellectual property rights shall belong to Party A; Party B has the right of authorship for the publication of the works of this project.

  10. Dispute Resolution:

  Disputes arising from the execution of this contract shall be settled by friendly agreement between the two parties, and if the negotiation fails, the court of the jurisdiction shall be sued.

  11. Others:

  1. This Agreement shall be executed in four copies, with two copies each executed by A and B, and signed and sealed by both parties to take effect. After the expiration of the cooperation, the two parties shall separately determine whether to continue the cooperation according to the cooperation situation.

  2. All annexes to this Agreement shall have the same legal effect as this Agreement.

  3. Within 3 working days after Party B designs the overall VI application system and outdoor advertising and is approved by Party A, Party A shall pay Party B 20% of the total contract amount, that is, RMB 30,000 Lu Qian Yuan (¥36,000.00);

  5. One month after the opening, Party B shall pay Party B 10% of the total amount of the contract within 3 working days after Party B designs the sales data plan required for the sales period and is signed and approved by Party A, that is, RMB 10,000.00 (¥18,000.00);

  6. Within half a year after the opening, within three working days after the completion of the tracking service of the first phase of the project advertisement, Party A shall pay Party B the balance of 10% of the total contract amount, that is, RMB 10,000.00 (¥18,000.00).

  5. Rights and Obligations of the Parties:

  1. Party A shall provide Party B with all necessary documents such as various necessary materials and government approvals related to the design to ensure that Party B accurately grasps the relevant design elements;

  2. Party A shall bear the consequences caused by Party A providing illegal advertising content or requiring Party B to publish untrue advertising content, and Party B shall not be jointly and severally liable;

  3. During the agency period, Party A and Party B shall appoint a special person to be responsible for the docking work and hold regular project analysis meetings, and the work content assigned by Party A shall be entrusted in writing;

  4. The two parties must actively cooperate and communicate from time to time, and Party A must complete the proofreading work within the agreed period, and Party A shall be responsible for the delay caused by the delay in proofreading;

  5. Party A has the right to put forward amendments and suggestions in writing (including fax) in writing (including fax) on the planning ideas, advertising plans, design drafts and all written working documents submitted by Party B submitted by Party B, and Party B shall modify and adjust accordingly until Party A signs and approves the finalized draft; Any impact after the implementation of the finalized plan shall be borne by Party A;
