Listed companies came out to acquire well-known pediatric chains

On the evening of May 6, great eastern (600327), an A-share listed company, announced that its holding company, JuneYao Medical, intends to acquire about 68.2% of the equity of Guangzhou Aibei Medical Service Co., Ltd. (hereinafter referred to as Zhibei Medical) through equity transfer and capital increase, with a total investment of 27.75 million yuan.

This means that after the successful transaction, Great Eastern will form a controlling stake in Zhibei Medical.

According to the official website, Zhibei Medical was established in 2016 as a chain institution with a layout in South China, mainly engaged in pediatric diagnosis and treatment services and covering family medical treatment, in July 2019, the original Zhibei Pediatrics brand was adjusted and upgraded to Zhibei Medical, and its founder was a doctor. At present, the company has set up a number of diagnosis and treatment institutions in Guangzhou, Zhongshan, Foshan, Nanning, Kunming and other cities.

Before this round of financing, Zhibei Pediatrics has obtained several rounds of financing, starting from 2017, for three consecutive years, it has obtained three tens of millions of yuan financing from different capitals, investors involving sequoia Capital, Iridium Capital and other well-known investment institutions, of which the first round of financing, less than a year from its establishment, and after this round of financing, Zhibei accelerated the expansion of offline clinics, while further expanding the number of doctors.

According to reports, between 2017 and 2020, Zhibei Medical has 7 outpatient clinics and clinics opened one after another, including three in 2018 and 2020.

According to the announcement, in 2020, 2021 and January 2022, during the reporting period, Zhibei Medical achieved revenue of about 23.7 million yuan, 26 million yuan and 1.49 million yuan respectively, and the net profit was negative continuously, of which the net profit in January this year was -1.2 million yuan.

In June 2020, Zhao Qiang, founder of Zhibei Medical, said in an interview with the Economic Observer that if there was no epidemic, Zhibei Pediatrics would build the seventh chain of pediatric clinics in South China.

According to the medical community, in the more than two years since the epidemic, the expansion of many chain medical institutions, including Zhibei, has been pressed the pause button, and the operating conditions have also been greatly affected, with strong financing needs.

So, what is the origin of the acquisition of Zhibei Medical's Great Eastern and JuneYao Medical? In fact, from the corporate name of JuneYao Medical, we can know a little bit.

It is understood that JuneYao Group ranks among the top 500 private enterprises in China, with more than one listed company, and its Juneyao Airlines is a well-known brand of Chinese private aviation.

According to public information, Great Eastern was founded in 1998, its predecessor was founded in 1969 in Wuxi "Oriental Red Mall", and successfully listed in 2002, affiliated to JuneYao Group, once by The Head of JuneYao Group Wang Junjin called JuneYao Group "century-old store".

Since its inception, the company has been consolidating the main retail business at the same time, constantly exploring new development paths, once formed a department store retail, automobile sales and service, food and catering three major sectors as the core of the strategic layout. In May 2021, in order to give full play to the professional team capabilities of JuneYao Medical, a holding subsidiary, integrate market resources, cut into the medical and health industry, and expand the company's layout in the health industry, Great Eastern announced that it intends to invest a total of 227 million yuan in Jiangao Medical and obtain 36% of its equity.

It is reported that Jiangao Medical is a large-scale pediatric chain institution in China, which has been focusing on the growth and development of children and adolescents, and has formed a good reputation in the diagnosis and treatment of height management, short stature and precocious puberty. By the end of 2021, Jiangao Pediatrics has opened 16 medical institutions in 12 cities including Beijing, Shanghai, Hangzhou, Wuhan and Chengdu.

Shortly thereafter, Great Eastern issued an announcement on June 16 that it intends to invest about 144 million yuan to transfer 41.20% of the existing equity of the original shareholders of Shuyang Central Hospital, and increase the capital by 70 million yuan, with a total investment of about 214 million yuan, and obtain 51% of the equity of Shuyang Central Hospital.

In this regard, the announcement said that this move is not only an important step for the holding subsidiary "JuneYao Medical" to uphold a deep understanding of the medical industry and cut into the core terminal of the medical industry - the hospital field, but also an important step to build a private serious medical service business with orthopedics and other specialties as the core features. It is reported that the hospital was formerly known as Shuyang Ping An Hospital, which was established in 2002 and is a private non-enterprise unit. In January 2007, it was renamed Shuyang County Central Hospital with approval, and is now a second-class general hospital.

In August of the same year, Great Eastern once again announced that it would invest 60 million yuan to acquire 60% of the equity of "Yaen Health". According to public information, since its establishment in 2005, after years of hard work, as of the end of 2021, 15 service centers have been set up in 7 major cities such as Beijing, Shanghai, Hangzhou and Nanjing, which is a chain of institutions that mainly provide personalized rehabilitation training for children's behavioral and psychological disorders.

In this round of announcements, Great Eastern said that the addition of "Zhibei Medical" can also carry out professional complementarity, service collaboration, resource sharing and management intensive treatment with the "Jiangao Pediatrics" project and the "Yaen Health" project in the current system, further consolidating the company's established JuneYao strategy.
