Air China: Zhou Feng, secretary of the board of directors, resigns and Huang Bin takes over

China Economic Network Beijing, September 30 (Air China) (601111.SH) announced tonight that the board of directors recently received the resignation of Zhou Feng, the secretary of the board of directors of the company. Due to his retirement, Zhou Feng applied to resign as the secretary of the board of directors and the secretary of the company. The Board of Directors of the Company has agreed to the resignation application of Zhou Feng, who will cease to serve as the Secretary of the Board of Directors and the Secretary of the Company with effect from 30 September 2021.

According to the nomination of the chairman of Air China and the qualification examination of the Shanghai Stock Exchange, the 32nd meeting of the fifth board of directors of the company deliberated and passed the "Proposal on Appointing Huang Bin as the Secretary of the Board of Directors and the Joint Company Secretary of the Company", approved the appointment of Huang Bin as the secretary of the board of directors and the joint company secretary, and appointed Xuan Haoxian as the joint company secretary, effective from the date of the passage of the board resolution.

Zhou Feng: Male, 59 years old, Master of Economics from Shanghai University of Finance and Economics, Master of Business Administration from China Europe International Business School (EMBA), Senior Accountant. In 1992, he was appointed as the director of the Planning and Financial Audit Division of the Zhejiang Provincial Bureau of Civil Aviation, in 1997 he was appointed as the chief accountant of AVIC Zhejiang Airlines, in 2001 he was appointed as the assistant general manager of AVIC (Macau) Co., Ltd. and the executive director of Air Macau, in 2003 he was appointed as the deputy general manager of AVIC Finance, in 2005 he was appointed as the director and executive vice president of AVIC Samsung Life Insurance Co., Ltd., in 2010 he was appointed as the secretary of the financial party committee of AVIC, and from April 2011 to May 2017, he was appointed as the general manager of the finance department of AVIC Group. From November 2011 to August 2017, he served as a supervisor of Air China, and in June 2017, he served as the director of the Office of the Board of Directors of AVIC Group Corporation and Air China. In August 2017, he was appointed as the secretary of the board of directors of Air China.

Huang Bin: Male, 58 years old, graduated from the Civil Aviation University of China, majoring in planning and finance, senior accountant. He entered the civil aviation in 1983 and served as the chief of the finance department, deputy director, director and general manager of the finance department of Air China. From April 2003 to May 2007, he served as deputy general manager, chief accountant and member of the Standing Committee of the Party Committee of Air China Southwest Branch, secretary of the board of directors of Air China Limited from June 2007 to December 2011, secretary of the party committee, vice president, party committee member and standing committee member of China International Cargo Airlines Co., Ltd. from April 2011 to August 2021, and director and executive committee member of China International Cargo Airlines Co., Ltd. in April 2011. Since September 2021, he has been the secretary of the board of directors and joint company secretary of Air China Limited.

Xuan Haoxian: Male, aged 59, holds a Bachelor of Laws (Honours) from the University of Leicester, UK and a Postgraduate Certificate in Laws from the University of Hong Kong. Mr. Xuan has been a solicitor in the High Court of Hong Kong and is currently a partner of Zen Law Firm. He was a partner at Dane & Associates from August 1994 to April 2003 and a partner at Zen Law Firm since April 2003. He was an independent non-executive director of Fuze Group Holdings Limited from June 2018 to February 2020 and a joint company secretary of Air China Limited from April 2020 to August 2020. He has been the Joint Company Secretary of Air China Limited since September 2021.
