Policies and regulations
On December 17, the listing mechanism of special purpose acquisition companies (SPAC), which has attracted much market attention, was officially launched. The Hong Kong Stock Exchange announced after hours on Friday that the SPAC listing mechanism will be officially implemented on January 1 next year.
The SPAC listing mechanism is that a shell company acquires the target company within a preset period of time after listing, thereby helping the latter to go public through a backdoor listing. The acquired target company is often referred to as the SPAC M&A Target, and the transaction is referred to as the SPAC M&A Transaction. HKEx maintains that only professional investors can participate in SPAC share transactions, and other individual investors can only enter the market after the completion of the SPAC shares merger transaction.
SPAC listing is one of the hottest listing financing methods for US stocks in recent years. In the first half of 2021, there were 358 new SPAC stocks listed in the United States, and the proceeds from the initial public offering reached $111 billion, exceeding the full-year figure of 2020.
