13. In August 2016, Ms. Wang came to Beijing, and she stayed at my home for more than a week in Beijing, and I drove my car with her to visit a number of fund companies such as Fengyun ** Fund, Golden Seed Fund, ** Angel Fund, as well as Jingdong, Yonyou Industrial Park, Yizhuang Science and Technology Industrial Park and other communication interviews.
And later we have seen the Guangzhou City Development Fund Hongtai Fund, Dahe Capital and many other funds and related institutions together as a partnership team, the investor Ren believes that Ms. Wang, who has expertise in the field of parenting, and I have just left the domestic Internet traffic distribution and network marketing New Third Board listed company for 3 and a half years as vice president, and the partner team composed of the two people is very complementary and is a good match.
14. On October 15, 2016, I arranged for Nuno Parenting to participate in the internal roadshow of our Beijing Angel Growth Camp, as the largest early angel investor training community and business school in China, most of the trainees are executives or individual angel investors of investment institutions, and regularly do internal roadshows that are not open to the public, I found the dean to do communication and coordination work on top of the three roadshow projects that were previously determined, and temporarily inserted the Nuno Parenting Project into it - that is, on this roadshow, Ms. Wang became acquainted with Liang SQ, who later invested in another investment institution, Yi* Capital, Nuno.
Because I see Ms. Wang as a team, I didn't mind ms. Wang directly adding our classmates' WeChat and contact information during the roadshow, and Mr. Liang, as my disciple in the growth camp, was one of the investors who were added by Ms. Wang to WeChat – which is why I said in my last response: I prefer to believe that he does not understand what happened before October 2016.
15. About 1 month after we got the official TS of Guangdong Province *** Investment Company on September 16, 2016, Ms. Wang basically determined that the above investment funds were in place, and also communicated privately with Liang Zong, a partner of Yicong Capital, in Guangzhou, on October 18, 2016, Ms. Wang was unusual, and on the grounds that the mutual trust relationship between us and I still need to be observed, she unilaterally sent me a formal email called "Equity Replacement Agreement", although the agreement also agreed that I was " Co-founders", but the cooperation model directly changed from the promised 20% shares to the "commission + machine small amount of equity" cooperation model that can only obtain a few tenths of a percent of the corresponding equity by completing various VAM tasks in the future.
When I saw Ms. Wang's email of "equity replacement cooperation agreement", I was already clearly aware of a fact: when Ms. Wang needed financing, she thought that she needed me as a "partner" and promised 20% of the shares and let me work and invest resources, labor and my personal brand endorsement, and when the financing ran out of me, I was nothing, and I was directly turned into an inexplicable equity replacement cooperation object as her definition of FA.
I felt that my previous investment, wisdom work, personal brand, and recommended resources were worthless in an instant, but at this time, I also realized that if I turned my face with her at this time, maybe all my previous efforts would be completely lost.
I could only swallow my anger and reply to Ms. Wang's email, and wrote in the email: "Because we did not have any rights and interests in the early stage and did not make it clear to me (it has always been a verbal agreement), I was already promoting the nuno thing..."
At the end of 2015, Ms. Wang and I determined the basic business direction of the company, in January 2016 officially registered the establishment of Guangzhou Nuno Education Technology Co., Ltd., on the one hand, based on her previous early education center into the new Nuno education company main body and how much money I used to invest in the new Nuno education company main body, we did not think of a suitable plan, so we discussed the establishment of the company first and then do the subsequent transfer and adjustment, on the other hand, the most important thing is that I am based on her trust in her alumni and fellow villagers. I always believed that her verbal promise that my 20% stake as a co-founder would not be any variable. And at that time, I had just entered the venture capital circle, and I didn't know much about how founders and partners should structure their equity and confirm their rights, so we have not done the actual industrial and commercial changes (small partners in the venture capital community, whether they invest or partner with others to start a business in the future, verbally agreed matters, if there is no written agreement, especially the legal sense of the right, you all see it as nonsense, my blood and tears are here).
16. On November 15, 2016, Ms. Wang drafted a written "equity replacement agreement" to completely change the shares and cooperation method promised to me into what she called FA, and in this agreement, Ms. Wang unjustifiably added a clause that "Li Xiaoyan, as a co-founder, needs to complete the first round of financing by December 31, 2016".
For me, this written equity replacement agreement is undoubtedly the same as the Maguan Treaty of that year, I did not accept it, I could not get a penny, and all the previous efforts were in vain; I accepted it, which meant that I had to accept the humiliating conditions.
17. Around the middle of December 2016, Ms. Wang suddenly gave me a phone call, to the effect that this fund from a Guangdong Province *** investment company had nothing to do with me, not the funds brought by me, so she could not pay me a commission according to the contents of the equity replacement agreement - although I participated in the communication as a team partner in several key meetings, and the most critical condition for them to invest was that I found another Yi* Capital as a joint investor, and Ms. Wang turned a blind eye to these facts; Eryi* Because the arrival time of yi* capital's funds is later than December 31, 2016, I have no right to enjoy the above two funds and the shares agreed in the agreement, and it is proposed that the equity replacement agreement signed by me and her before has no need to actually perform...
I called Mr. Liang, who said that their Yi * capital belongs to the newly established fund, which is in the process of being established as a registered limited partnership in Ningbo, and the arrival time of the funds may be one month late, which he has communicated with Ms. Wang at the beginning..... On November 15, 2016, Ms. Wang and I signed an equity swap agreement, and Ms. Wang knew that Mr. Liang might not be able to receive funds before December 31, 2016, but deliberately added the clause of "completing the first round of financing by December 31, 2016" to the agreement with me.
Ms. Wang should not forget that in early 2017, she asked me to go to Guangzhou Tianhe Man Coffee and talked to me about the performance of the equity replacement agreement, I originally thought that it was Hetan Xingchong dragging the box to the designated place, but I did not want Ms. Wang to be prepared to come to the café in the morning, she took DuRR and another lady to wait on the second floor for more than a long time, the whole process Ms. Wang used a method close to humiliation and coercion to let me accept to give up the rights and interests agreed in the "equity replacement agreement" for various reasons.
In the middle, Mr. Liang came to me as a third party to mediate and say peace, and in the end, as I wrote for the first time in my personal circle of friends, I may not want to get entangled with people and things that are not worthy of it anymore, and considering that Mr. Liang, who is my growth camp disciple in the whole thing, may not be aware of the previous events, in the end, I chose to settle and gave up all the shares that Ms. Wang and I promised.
Ms. Wang, you are the majority shareholder, you are the founder, how do you say that you are happy with you, when you need me, I say that I am a "partner", I am still stupid to be really this "partner", you do not need me when a kick away and say that I am "FA", I was forced to become a FA - for a person who does not have the spirit of the contract, for a person who is used to using the other party to kick away, where is the concept of "partner", for so many years, Has Nuno ever had a real partner? So today, you are the only one who pays the debt.
It seems to be a very embarrassing and humiliating thing to explain to everyone from the beginning to the end of your failure and being bullied! As I said before: good and evil have a cycle of karma, come out and mix, sooner or later have to pay back - so, I also have to thank Ms. Wang, if it were not for the fact that she kicked me out of the "partner" step by step to become an "FA", now, I still have to pay off the debt with her!
On March 23, I filed a complaint to the WeChat public platform about the personal self-media public account "I am a lawyer Zhang, I will tell you who is a liar" article that seriously damaged my reputation, and under the strict censorship mechanism of WeChat, the self-media public account did the thief and deleted the article by itself, but the article had more than 45,000 hits before it was deleted, and indirectly formed an Internet violence against me.
