About the Board of Directors

The Board of Directors is the highest responsible body for the company's strategy, operation management and customer satisfaction, undertaking the mission of leading the company forward, exercising the decision-making power of the company's strategy and operation management, and ensuring that the interests of customers and shareholders are safeguarded.

The main responsibilities of the Board of Directors are:

  • Develop corporate governance plans;
  • Deliberate on the company's registered capital increase or decrease plan, profit distribution plan and loss compensation plan;
  • Deliberate on the company's equity incentive plan and non-equity long-term incentive plan;
  • Review or approve the company's entry or exit from the industrial field, and approve the company's strategic planning;
  • Approve major organizational changes and adjustments, management mechanism construction and business changes;
  • Approve significant financial policies, financial planning and business transactions;
  • Approve the company's annual budget plan, annual operating report and annual audit report;
  • Approve the appointment and dismissal, remuneration and long-term incentives of the company's senior management;
  • Approval of significant HR policies and plans at the company level;
  • Approve management plans for major risks and major crises related to the company, and manage major emergencies;
  • Approve the construction of internal control and compliance systems.

The board of directors has a total of 17 members, which are elected by the shareholding employee representative council and voted by the shareholders' meeting.

Current Board members include:

  • Chairman: Liang Hua
  • Vice Chairmen: Guo Ping, Xu Zhijun, Hu Houkun, Meng Wanzhou
  • Managing Directors: Ding Yun, Yu Chengdong, Wang Tao
  • Directors: Xu Wenwei, Chen Lifang, Peng Zhongyang, He Tingbo, Li Yingtao, Ren Zhengfei, Yao Fuhai, Tao Jingwen, Yan Lida

In the event of a vacancy of directors, alternate directors shall be replaced in turn. In November 2020, Zhao Ming resigned as an alternate director, and currently, the alternate directors include Li Jianguo and Bloomberg.

Board operations

In 2020, the Board of Directors held a total of 10 on-site meetings to review and make decisions on the company's medium- and long-term strategic planning, annual business plan, audit report, profit distribution, capital increase, and glory business sale plan.

The Board of Directors has a Standing Committee, which is a permanent executive body of the Board of Directors, entrusted by the Board of Directors to study and brew major matters, make decisions on matters authorized by the Board of Directors and supervise their implementation. In 2020, the Standing Committee of the Board of Directors held a total of 18 meetings.

The standing committee members of the board of directors include: Guo Ping, Xu Zhijun, Hu Houkun, Meng Wanzhou, Ding Yun, Yu Chengdong and Wang Tao.

The Board of Directors and the Standing Committee of the Board of Directors of the Company shall be presided over by the Rotating Chairman, who shall be the supreme leader of the Company during the period of his or her duties. The rotating period of the rotating chairman is six months, and the current duty is cycled in the following order:

Xu Zhijun:

October 1, 2019 - March 31, 2020

April 1, 2021 - September 30, 2021

October 1, 2022 - March 31, 2023

Guo Ping:

October 1, 2018 - March 31, 2019

April 1, 2020 - September 30, 2020

October 1, 2021 - March 31, 2022

Hu Houkun:
