Yinhe Holdings (08260.HK): Resignation of non-executive directors Lin Zicong and Zhang Tiande

Caihua News( Yinhe Holdings (08260.HK) announced that with effect from 14 September 2021, Mr. Lam Has resigned as a non-executive director of the Company to focus on the performance of the duties of Company Secretary and other business matters of his development, and after his resignation, Mr. Lam is no longer a member of the Remuneration Committee of the Board of Directors of the Company, but will continue to serve as Company Secretary. and Mr. Cheung Tin Tak has resigned as a non-executive Director of the Company to develop his other business matters.

As set out in the previous announcement, the Company failed to comply with (i) the requirement under Gem Listing Rules 5.05(1) that the Board of Directors shall have at least three independent non-executive Directors; (ii) Rule A.5.1 of the Code of Conduct for Corporate Governance Contained in Appendix 15 to the GEM Listing Rules, which requires a Chairman of the Nomination Committee; and (iii) Rule 5.28 of the GEM Listing Rules, which requires a minimum of three members of the Audit Committee. The Company will use its best efforts to identify suitable candidates as soon as practicable and in any event within three months in accordance with the GEM Listing Rules to fill the temporary vacancies for the position of Independent Non-executive Director on the Board.
