NIO got the money again!

According to the latest official announcement, NIO has signed a new share subscription agreement with CYVN, an Abu Dhabi investment institution, with a total investment of US$2.2 billion (about 15.71 billion yuan).

The reason why it is brand new is that CYVN only confirmed to invest US$1.1 billion (about 7.855 billion yuan) in NIO in June this year, and had signed a share subscription agreement.

It is reported that after the completion of this transaction, CYVN will hold a total of 20.1% of NIO's shares, surpassing Li Bin to become the largest shareholder.

The new financing also gave positive feedback from the capital market, and NIO shares soared 10% in pre-market trading.

As of press time, NIO shares have risen by 4.64%, and its market value has increased by US$618 million (about 4.413 billion yuan).

This time, the investor in NIO is still a familiar face, CYVN Holdings, the investor in which the Abu Dhabi government holds a majority stake.

According to NIO's announcement, NIO has signed a new share subscription agreement with CYVN.

Under the agreement, CYVN's subsidiary, CYVN Investments, will invest US$2.2 billion (approximately RMB15.710 billion) in NIO in cash.

In addition, CYVN will have the right to nominate two directors to NIO's board of directors as long as it continues to hold not less than 15% of NIO's shares, and one director if it holds less than 15% but more than 5% of the shares.

What is more noteworthy in this investment is that NIO's shareholders have changed.

According to the 20-F filing disclosed by NIO, as of February 28, 2023, NIO had a total of 1,687,741,811 shares, of which Li Bin held 10.5% of the shares as the largest shareholder with 44.2% of the voting rights.

Tencent also holds 9.7% of the shares and 5.9% of the voting rights, while Baillie Gifford & Co holds 7.2% of the shares and 4.4% of the voting rights.

In June of this year, CYVN announced its investment in NIO, which included the purchase of 84,695,543 newly issued Class A ordinary shares of NIO and the purchase of 40,137,614 Class A ordinary shares from Tencent Affiliate.

This means that CYVN will surpass Li Bin to become the largest shareholder of NIO.

However, even if CYVN becomes NIO's largest shareholder, Li Bin still has control over NIO.

Because Li Bin owns 148,500,000 Class C ordinary shares in addition to 30,467,776 Class A ordinary shares.

According to the company's disclosure, each Class A ordinary share of NIO has one vote, and each Class C ordinary share has eight votes.

Therefore, if the shares held by CYVN and Li Bin are calculated according to the voting rights, CYVN has 418,833,157 votes, and Li Bin has 1,218,467,776 votes, which is still the most.

Weilai's official response also said that after this round of investment, the actual controller of Weilai is still Li Bin.

NIO: The good news keeps coming
