Beijing News (reporter Lin Zi) On December 14, the Beijing News reporter learned from industrial and commercial information that Beijing Sound Environmental Engineering Co., Ltd. (hereinafter referred to as "Beijing Sound Environmental Engineering") cooperated with two wholly-owned subsidiaries of listed companies to establish a new company - Zhoushan Sound Water Co., Ltd. (hereinafter referred to as "Zhoushan Sound Water").

According to industrial and commercial information, Zhoushan Sound Water was established on December 9, 2019, with a registered capital of 247 million yuan, and its business scope includes sewage treatment and its comprehensive utilization; the development, construction, operation, management and investment of sewage treatment engineering projects.

At present, the four shareholders of Zhoushan Sound Water are Beijing Sound Environmental Engineering, Zhoushan Water Affairs Group Co., Ltd., Shanghai Municipal Engineering Design and Research Institute (Group) Co., Ltd., and China Construction First Bureau (Group) Co., Ltd., with shareholding ratios of 83%, 15%, 1% and 1% respectively, and the subscribed capital contribution is 205 million yuan, 37.1203 million yuan, 2.4746 million yuan and 2.4746 million yuan, respectively.

The Beijing News reporter found that at the beginning of this year, Sound Group had won the bid for the Zhoushan project.

According to the Chinese government procurement network, in March this year, Beijing Sound Environmental Engineering Co., Ltd. and China Construction First Bureau (Group) Co., Ltd., Shanghai Municipal Engineering Design and Research Institute (Group) Co., Ltd. consortium, pre-won the bid for the Zhoushan Sewage Treatment Plant Project PPP project. The total investment of this project is about 825 million yuan, and the construction period is 32 years.

The above-mentioned projects include the Zhoushan Sewage Treatment Plant Project and the Zhoushan Sanjiang Sewage Treatment Plant Project, of which the Zhoushan Sewage Treatment Plant Engineering Construction Includes an Urban Sewage Treatment Plant with a design scale of 150,000 cubic meters per day; the Zhoushan Sanjiang Sewage Treatment Plant Project includes an industrial sewage treatment plant with a design scale of 10,000 cubic meters per day.

According to industrial and commercial information, Zhoushan Water Group Co., Ltd., another shareholder of Zhoushan Sound Water, is a wholly-owned subsidiary of Zhoushan State-owned Assets Supervision and Administration Commission.

According to the official website, Zhoushan Water Affairs Group Co., Ltd. has a registered capital of 100 million yuan, which is a wholly state-owned enterprise, and has two brands and a set of teams with the Municipal Water Affairs Bureau, which is mainly responsible for the unified management of raw water, urban water production, urban water supply, urban water supply, etc.

Other shareholders of Zhoushan Sound Water also have state-owned backgrounds.

Among them, Shanghai Municipal Engineering Design and Research Institute (Group) Co., Ltd. holds 1% of the shares of Zhoushan Sound Water, which is a wholly-owned subsidiary of Shanghai Construction Engineering, an A-share listed company. According to the official website, Shanghai Construction Engineering's operating income exceeds 170 billion yuan, and the company ranks 61st in the "2018 China Top 500" of Fortune.

China State Construction First Bureau (Group) Co., Ltd. also holds a 1% stake in Zhoushan Sound Water, a wholly-owned subsidiary of China State Construction, an A-share listed company. China State Construction is a central enterprise under the State-owned Assets Supervision and Administration Commission, China's longest specialized development, the earliest market-oriented operation, the highest degree of integration, and the world's largest investment and construction group.

The Beijing News reporter noted that the First Bureau of China Construction and Sander had already intersected.

According to the official website of China Construction First Bureau, in November 2016, Luo Shiwei, chairman of the board of directors and secretary of the party committee of China Construction First Bureau, met with Guo Yongyi, president of Sound International, and his party at the China Construction First Bureau Building. During the meeting, China Construction First Bureau signed a strategic cooperation agreement with Sound International, and the two sides will cooperate in the field of water environmental protection in Jilin, Jiangsu and other places.

Luo Shiwei said that in recent years, Sound International has closely followed the development direction of the national water environmental protection industry, won high recognition in the industry in terms of domestic sewage treatment and watershed ecological governance, and hoped that the two sides would give full play to their respective advantages, strive to open up the professional market for water environmental protection, and continue to deepen cooperation through mechanism landing and model innovation.

The Beijing News reporter also saw on the Changzhou Municipal Government Procurement Network that in 2017, Jiangsu Jianxin Bidding Co., Ltd. was entrusted by the Liyang Municipal Water Bureau to conduct public bidding for the liyang rural domestic sewage treatment project (including rainwater and sewage diversion in the market town area) and carried out procurement activities in accordance with the prescribed procedures. In January 2018, the purchaser determined that a consortium composed of China State Construction Co., Ltd., China Construction Water Environmental Protection Co., Ltd., Beijing Sound Environmental Engineering Co., Ltd., and China Municipal Engineering Northwest Design and Research Institute Co., Ltd. was the pre-winning social capital for the project. The return on investment of the project is 5.85%, and the cooperation period is 29 years, of which the construction period is 2 years.

At the time of promoting the layout of Zhoushan, Beijing Sound Environmental Engineering has recently seen frequent financial turmoil.

On December 5, the Beijing News exclusively reported that Beijing Sound Environmental Engineering Co., Ltd. had been applied for by partners to freeze their assets, and the court also included them in the list of dishonest executors. Some partners told the Beijing News reporter that the freezing of deposits is mainly for contractual reasons.

Beijing Sound Environmental Engineering is a core member of the environmental protection giant Sound.

According to the issuance documents of Beijing Sound Environmental Engineering, Beijing Yipu is the controlling shareholder of Beijing Sound Environmental Engineering, and Sound International holds 100% of the equity of Beijing Yipu. Wen Yibo and his co-actors hold a total of 51.41% of the equity of Sound International and are the actual controllers of Sound International. As a result, Wen Yibo has actual control over Beijing Sound Environmental Engineering and is the actual controller of the company.

Beijing Sound Environmental Engineering has performed poorly in recent years.

The Beijing News reporter learned that from 2015 to 2017, the total operating income of Beijing Sound Environmental Engineering continued to grow, achieving 2.956 billion yuan, 3.225 billion yuan and 3.655 billion yuan respectively, while the company's net profit declined year by year, achieving 608 million yuan, 442 million yuan and 421 million yuan respectively. In 2018, the operating income of Beijing Sound Environmental Engineering continued to grow to 4.05 billion yuan, while the net profit continued to decline to 297 million yuan.

In the first three quarters of 2019, the operating income of Beijing Sound Environmental Engineering was 2.419 billion yuan, down from 3.009 billion yuan in the same period last year, and the net profit was 327 million yuan, an increase of 250 million yuan compared with the same period last year. At the end of the third quarter of this year, the total liabilities of Beijing Sound Environmental Engineering were 16.846 billion yuan, an increase from 16.407 billion yuan at the beginning of the year.
