The Secretary for Security, Mr Tang Ping-keung, wrote to seven members of the Standing Committee of the "Branch Federation" yesterday (10 July), stating that he intended to propose to the Chief Executive in conjunction with the Executive Council to exercise the powers of section 360C of the Companies (Winding Up and Miscellaneous Provisions) Ordinance and order the Registrar of Companies to remove the "Branch Association" from the company register. The analysis believes that the Security Bureau has in fact started the dissolution procedure, and the "branch federation" is heading for extinction.
Pursuant to section 360C(2) of the Companies (Winding Up and Miscellaneous Provisions) Ordinance, the Registrar of Companies shall immediately remove the name of the company from this register and publish the relevant announcement in the Gazette, at which time the company shall cease to be dissolved, provided that the legal liability of each director, officer and member of the company shall continue and be enforceable.
