第一条集成服务内容

Article 1 Integrated Service Content

1、甲方委托乙方提供（计算机信息系统名称）系统集成服务（以下称本项目）。本项目的整体功能应当符合招标文件中规定的各项技术指标和技术参数要求；关于本项目的建设目标、处理业务对象、主要功能及与甲方其他相关软件系统的关系等约定见附件[ ]。

1. Party A commissions Party B to provide (name of computer information system) system integration services (hereinafter referred to as the Project). The overall functions of the Project shall comply with the technical indicators and technical parameter requirements stipulated in the bidding documents; refers to Annex [ ] for the agreement on the construction objectives, business objects to be handled, main functions and relationship with other relevant software systems of Party A of the Project.

1、项目组 1. Project group

（1）甲乙双方应当委派人员分别组成项目组。其中，乙方委派人员应当与本项目的实施要求相适应。双方项目组成员名单、职责和联系方式见附件[ ]。

(1) Party A and Party B shall effects assignment of their personnel to form a project group respectively, among which, the personnel assigned by Party B shall satisfy the implementation requirements of the project. The list of project group members, responsibilities and contact information refers to the attachment [ ].

（2）甲乙双方应当各自在本方项目组成员中指定一人作为项目经理，代表本方处理项目有关事务。乙方指定的项目经理应当具备计算机信息系统集成项目经理资质。双方应当互相提供本方项目经理的授权委托书，项目经理在授权范围内签署的各种法律文件视为本方法人行为。

(2) Each party shall designate one of its project group members as the project manager, on behalf of the party, to handle project-related issues. The project manager designated by Party B shall be qualified as a computer information system integration project manager. The parties hereto shall submit each other with the power of attorney of their project manager, and the various legal documents signed by the project manager within the scope of the power of attorney shall be deemed as the legal person’s acts of the party.

（3）任何一方更换项目组成员时，均应当提前[ ]个工作日以书面形式通知对方，而且乙方更换项目经理或主要技术人员，还应当征得甲方的书面同意。甲方应当自收到乙方通知之日起在[ ]个工作日内答复乙方，逾期未答复的视为同意。

(3) Either party which replace its member of the project group, shall notify the opposite party in writing [ ] working days in advance. In addition, Party B cannot make any replacement of project manager or key technical personnel until obtain Party A's written consent therefore. Party A shall reply to Party B within [ ] working days upon receipt of the notice from Party B, where failure to reply overdue, shall be deemed to be consent.

（4）项目组成立后，乙方应当制定项目实施计划，明确项目进度安排、工作地点、工作环境提供等事项。项目实施计划经双方确认后，作为附件[ ]。

(4) Party B shall, upon establishment of the project group, formulate the project implementation schedule which specify the issues of the project schedule, workplace, work environment provision and others. The project implementation schedule confirmed by the parties will constitute the Annex [ ].

2、信息与资料提供

2. Information and data provision

（1）乙方有权向甲方有关职能人员调查、了解现有的相关信息和资料，以对本项目进行全面的研究和设计；甲方应当予以配合。

(1) Party B shall have the right to investigate and acknowledge the relevant information and data available from the relevant functional personnel of Party A in order to conduct the comprehensive study and design of the Project; Party A shall take cooperation therewith.

（2）乙方认为甲方提供的信息和资料不符合本项目要求的，有权书面通知甲方补齐、补正。甲方未按照约定补齐、补正，也未做出合理解释的，延误的工期相应顺延。

(2) Party B, if considers the information and data submitted by Party A fail to satisfy the requirements of the Project, has the right to notify Party A in writing to complete and correct the same. Where Party A fails to complete or make corrections in accordance with the agreement, or fails to give a reasonable explanation, the delayed period will be extended accordingly.

　　3、本项目工程环境提供

3. Provision of the engineering environment of the project

乙方依据项目进度，在甲方所需的合理时间之内，提前[ ]个工作日以书面形式通知甲方提供相应工程环境。甲方应当依据本项目工程的条件、性质及乙方的要求提供施工、安装和集成环境。甲方未能提供的，延误的工期相应顺延，造成乙方损失的，甲方应当承担赔偿责任。

Party B shall, in accordance with the progress of the project, notify Party A in writing to provide the corresponding works environment prior to [ ] working days within the reasonable time required by Party A. Party A shall provide the environments of construction, installation and integration in accordance with the conditions and nature of the project works and Party B's requirements. Where Party A fails to do so, the delayed construction period shall be extended accordingly and Party A shall be liable for any loss due to Party B.

第四条项目需求分析及技术文件编制

Article 4 Analysis of project requirements and preparation of technical documentation

　　1、需求分析

1. Analysis of project requirements

甲乙双方根据本合同第一条、附件[ ]中约定的本项目建设要求以及甲方所提供的资料与信息共同进行需求分析，并由乙方及时完成需求分析报告。

The parties hereto shall jointly carry out a demand analysis in light of the construction requirements of the Project as specified in Article 1 hereof, Annex [ ] and the data and information provided by Party A, and Party B shall complete the demand analysis report in time.

在此过程中，甲方可就其中所涉及的功能、目标、需求构成及相关技术问题向乙方咨询，乙方应当及时答复。需求分析报告经甲、乙双方签字认可后作为附件[ ]。

In the process, Party A may consult Party B on the functions, objectives, requirements composition and related technical issues involved therein, and Party B shall, without undue delay, reply the issues. The requirements analysis report shall be signed and approved by the parties as an annex [ ].

2、项目技术文件

2. Project technical documents

　　（1）项目需求分析完成后，乙方应当向甲方提交的技术文件及时间安排为：

(1) Subsequent to the completion of the project requirement analysis, the technical documents that Party B should submit to Party A and the time schedule are.

（2）甲方应当对乙方提交的技术文件进行审核，并在[ ]个工作日内签字确认或提出书面修改意见。根据甲方的书面修改意见，乙方应当及时予以修改并再次提交审核。甲方无正当理由怠于审核的，延误的工期相应顺延，造成乙方损失的，甲方应当承担赔偿责任。

(2) Party A shall review the technical documents submitted by Party B and sign to confirm or file written amendments within [ ] working days. Party B shall, pursuant to Party A's written amendment, amend and re-submit for review without undue delay. Where Party A neglects the review without justifiable reasons, the delayed period shall be extended accordingly and Party A shall be liable for any loss caused to Party B.

　　（3）技术文件经甲方签字确认后，作为本合同的附件。但甲方对技术文件的确认，并不代表免除乙方对技术问题所应承担的相应责任。

(3) The technical documentation shall be signed and confirmed by Party A as an annex to this contract. However, Party A's confirmation of the technical documentation does not release and discharge Party B from the corresponding responsibility for technical issues.

　　3、项目变更 3. Amendment of project

　　（1）甲乙双方均有权在本合同履行过程中提出变更、扩展、替换或修改本项目内容的建议，包括但不限于增加或减少系统的相应功能、提高有关技术参数、变更产品交付或系统安装的时间与地点等。

(1) The parties hereto have the right, during the performance of this contract, to propose the changes, extensions, replacements or modifications to the contents of this project, including but not limited to adding or reducing the corresponding functions of the system, improving the relevant technical parameters, changing the time and location of product delivery or system installation, etc.

（2）本合同履行过程中的重大变更（包括但不限于信息系统性能、项目实施计划、合同价款、交付日期等的更改以及对材料、设备换用等），甲乙双方应当以书面形式予以确定。因甲方提出变更导致合同价款的增减以及造成的乙方损失，应当由甲方承担，延误的工期相应顺延。

(2) Major changes in the performance of this contract (including but not limited to changes in the performance of the information system, project implementation plan, contract price, delivery date, etc., in addition to the changes in the use of materials and equipment) shall be determined in writing by the parties. Any increase or decrease in the contract price and any loss incurred by Party B due to changes proposed by Party A shall be borne by Party A and any delay in the construction period shall be extended accordingly.

第五条 信息系统交付和验收

Article 5. Delivery and acceptance of information systems

　　1、交付 1. Delivery

（1）乙方应当按照本合同及附件约定的内容进行交付，所交付的文档与文件应当包括纸质及电子版式并可供阅读。如约定甲方可以使用或拥有某软件源代码的，乙方应当同时交付该软件的源代码。

(1) Party B shall deliver in accordance with the specification hereof and its annexes and the documents and files delivered shall be in paper and electronic format and be readable. Where Party A’s use or possession of the source code of a software are agreed, Party B shall deliver the source code of that software at the same time.

　　（2）乙方应当在每项交付[ ]个工作日前以书面方式通知甲方，甲方应当在接到通知后及时安排交付事宜。

(2) Party B shall notify Party A in writing [ ] days prior to each delivery and Party A shall, without delay, arrange for the delivery upon receipt of such notice.

　　（3）因甲方原因导致交付不能按时进行的，乙方可相应顺延交付日期，造成乙方损失的，甲方应当承担赔偿责任。

(3) Provided that the delivery cannot be made on time due to Party A’s reason, Party B may postpone the delivery date accordingly, and Party A shall be liable for compensation to Party B’s loss.

　　2、硬件设备检验

2. Inspection of hardware equipment

硬件设备交付后[ ]个工作日内，甲乙双方应当共同对设备的规格、数量、等状况进行检验，并记录检验情况。如交付的硬件设备与约定不符的，乙方应当及时予以更换或补足并重新提交检验。

The parties hereto shall, within [ ] working days upon the delivery of the hardware equipment, jointly inspect the specifications, quantity, and other conditions of the equipment and record the inspection. Where the hardware delivered fail to conform to the agreement, Party B shall without undue delay replace or replace the same and resubmit for inspection.
