　　Article 1 Subject matter of lease

　　Article 2 Rental time, cost and vehicle

　　Article 3 Rent payment method and time

　　Party B shall, after the completion of the above-mentioned LED publicity, submit the corresponding amount of invoice to Party A after Party A's approval confirmation, and Party A shall pay the corresponding amount to Party B within ____ days after receiving the invoice.

　　Article 4 Party B's Responsibilities

　　1. Responsible for publishing commercial advertising videos and texts for Party A;

Responsible for handling urban management and other related management procedures, if the urban management and other relevant management departments cannot place advertisements, the consequences caused by Party B shall be borne by Party B, and Party A shall be compensated for the corresponding losses in time;

　　Article 5 Party A's Responsibilities

　　1. The content of commercial advertisements published by Party A shall comply with the requirements of the Advertising Law of the People's Republic of China.

　　2. Pay the rent of the large screen to Party B on time.

　　Article 6 Liability for breach of contract

　　1. If Party A fails to pay the rent and time specified in Article 2 and Article 3 of this contract, Party B has the right to terminate the contract if it fails to pay for more than one month.

　　2. If Party B fails to publish advertisements or close the large screen without reason according to the timetable provided by Party A (except for irreversible factors), Party B shall pay Party A liquidated damages of 10% of the contract amount on the same day.

　　3. If one party breaches the contract and causes losses to the other party within the term of the agreement, it shall compensate for its losses.

　　Article 7 Miscellaneous Provisions

　　(1) This Agreement shall come into force on the date of the seal of both parties.

　　(2) In the event of a dispute between Party A and Party B over any matter of the contract, the dispute shall be settled through negotiation between the two parties; If the negotiation cannot be resolved, the people's court at the place where Party A is located shall make a ruling.

　　(3) Without the written consent of Party A, Party B shall not transfer the rights and obligations of the contract.

　　(4) The contract shall be in duplicate, and both parties shall hold two copies, and the contract shall come into force after being sealed by both parties.

　　(5) Matters not covered in this contract shall be separately negotiated by both parties A and B, and a supplementary agreement shall be signed. In the event of any inconsistency between the Supplemental Agreement and this Contract, the Supplemental Agreement shall prevail.

　　(3) If Party A transfers the site due to unavoidable factors, in order to protect the rights of Party B, Party A shall declare to the transferee that according to the provisions of Article 229 of the Contract Law of the People's Republic of China, this lease contract will continue to be valid after the transfer of ownership of the position to a third party, and the validity of the lease contract shall not be affected.

　　6. Party B's rights and obligations

　　(1) Party B shall pay the rent in accordance with the provisions of the contract, if it is overdue, it shall pay liquidated damages to Party A according to the ______ of the day of the arrears of rent from the date of arrears to the date of full delivery, and the liquidated damages shall be calculated according to the actual number of overdue days, and if the overdue period exceeds 30 days, Party A has the right to terminate the contract, and the deposit received by Party B shall not be refunded as liquidated damages.

　　(4) Party B has the right to make billboards in accordance with the form and specifications approved by the government, and increase the screen size of the billboards without affecting and destroying the safety of the main body of the building and its related facilities (including the steel structure of the LED large screen), but Party A shall be notified in advance that all the costs of the billboards such as materials, construction costs, and electricity charges shall be solved and paid by Party B, and the construction and installation shall meet the safety production requirements and the billboards shall be beautiful and complete. Party B is responsible for the daily repair and maintenance of billboards.

　　(5) Party B must go through the relevant procedures and pay the relevant fees in accordance with the relevant national, provincial and municipal advertising regulations when publishing advertisements.

　　(6) If the contract expires or is terminated for any reason, Party B must remove the advertisement by itself, if it fails to remove it within 15 days, it will be deemed that Party B has voluntarily given up, and Party A can dispose of the advertisement by itself without notifying Party B, and Party B shall not have any objection.

　　(7) Party B shall ensure the safety and firmness of the advertising space equipment, and Party B shall bear all responsibilities for any damage to personnel and property caused by billboards, posters or related facilities and equipment of billboards during the installation and lease period.

　　(8) Party B shall be responsible for the approval procedures, design, construction and installation of the advertising space, and shall bear all the expenses incurred and pay the site occupation fee specified by the Urban Management Bureau during the lease period.

　　(9) Party B installs the required electricity meter by itself. Party B shall pay the electricity fee according to the uniform charging standard of Party A to the tenant of the shopping mall. However, Party A's electricity billing standard shall be implemented in accordance with the national commercial electricity standard, and the maximum charging price shall not exceed ______% of the national standard.

　　7. Liability for breach of contract and determination of liability:

　　During the term of this contract, neither party A nor party B shall terminate the contract in advance without reason, otherwise the breaching party shall pay liquidated damages equal to ______% of the contract amount for one year to the other party. 　　8. Confidentiality Clause:

　　9. Force Majeure and Dispute Resolution:

　　(1) In the performance of the contract after the approval of the billboard, if the two parties cannot perform the contract normally due to all force majeure factors such as government planning, the contract will be automatically terminated and both parties shall be exempted from liability. Party A shall unconditionally return the deposit and the balance of the rent paid by Party B in full within three days, and Party A shall refund Party B the lease fee paid in advance according to the remaining days.

　　(2) In the event of a dispute arising during the execution of this contract, it shall be settled by both parties through negotiation, and if the negotiation fails, either party may file a lawsuit with the people's court where the leased property is located.

　　10. Contract modification, change and renewal:

　　(1) Any modification or change to the content of this contract shall be approved in writing by both parties, and any rights and obligations arising from this contract shall not be changed by either party without the consent of both parties.

　　(2) If there is any change, it shall notify the other party in writing two months in advance, and if Party B needs to renew this contract, it shall submit a renewal request to Party A two months before the expiration of this contract, and Party B shall have the right of priority under the same conditions.

　　11. This contract has the same legal effect as two copies, and both parties A and B hold one copy, which shall have legal effect and take effect from the date of signature and seal of both parties.
