Nvidia's acquisition of Arm failed! SoftBank: Terminated the sale of Arm and prepared for a public offering

According to SoftBank's latest official documents, SoftBank's sale of Arm to Nvidia ended in failure.

SoftBank issued an agreement to terminate the sale of all shares in its affiliates and documents preparing for Arm's public offering. The document mentions that SoftBank Group Capital Limited, wholly owned subsidiary ("SBGC") and SoftBank Vision Fund 1 ("SVF1"),entered into a definitive agreement (the "Agreement") with NVIDIA, as described in "Sale of All Shares of Subsidiary Arm Limited" dated September 14, 2020.

Despite good-faith efforts by the parties, NVIDIA and SBG have agreed to terminate the agreement on February 8, 2022, due to significant regulatory challenges that hindered the completion of the transaction. In addition, according to the terms of the agreement, the deposit of $1.25 billion is non-refundable.
