USD/AED exchange rate : 3.6725 / In case of Euro payment, exchange rate would be based on ECB exchange rate 5 days after BL date ( B/L date is 0).In case of holiday, the first banking day after agreed date to be considered. It is highly advised to verify the bank details via phone prior to initiating any payments. This is to avoid any potential issues, as any associated costs will be the responsibility of the buyer.

SELLER is to charter vessels during the Term hereof, after receiving BUYER‘s acceptance via email, telex or telefax, as to vessel’s suitability for discharging at discharge port, on basis of vessel’s characteristics communicated by SELLER to BUYER.
Confirmation for vessel acceptance shall not be withheld or delayed more than two working days. SELLER’s vessel nomination shall become an individual charter party (hereinafter called a “C/P”) only upon BUYER’s acceptance of such vessel nomination.
賣方在收到買方通過電子郵件、電傳或傳真表示接受的關于船舶适合在卸貨港卸貨的資訊後,應在此期間租用船舶。賣方應根據向買方通報的船舶特性,确認船舶的接受情況。船舶接受的确認不得扣留或延遲超過兩個工作日。隻有在買方接受該船舶提名後,賣方的船舶提名才會成為個别租船合同
The SELLER shall keep the BUYER posted not less than 3 days regarding vessel’s position and her estimated time of arrival (ETA).
賣方應至少提前 3 天向買方通報船舶的位置和預計到達時間
BUYER shall not reject the vessel acceptance unreasonably, provided that the terms of the vessel nomination are as per market norms and the vessel is able to make delivery to the nominated port of delivery.
隻要船舶提名的條款符合市場規範,并且船舶能夠傳遞到指定的交貨港,買方不得無理拒絕接受船舶。
All taxes, dues, customs duties and other charges imposed on the cargo at loading port are at SELLER’s account and all taxes, dues, customs duties and other charges imposed on the cargo at discharge port/ports are at BUYER’s account.
在裝貨港對貨物征收的所有稅款、關稅、海關關稅和其他費用均由賣方承擔,在卸貨港/港口對貨物征收的所有稅款、關稅、海關關稅和其他費用均由買方承擔。
BUYER shall provide one safe discharge berth per each port and shall perform the discharge using its own shore facilities free of any expenses for the vessel at unloading rate as per vessel nomination.

Should any changes in shipment conditions be requested by BUYER after vessel confirmation, all charges shall be at BUYER’s account

In the event that either ICIS or Platts publication is not published on Friday or is not available, the average of other available publications as per above formula to be used.

Percent Shortage/Loss:
Any difference within 0.3% between the quantity of the ocean bill of lading and the quantity inspection report issued by a third-party inspection agency at the discharge port for the cargos in the vessel shall be deemed acceptable and borne by the buyer; If there is a quantity difference exceeding 0.3%, the seller shall contact the insurance company for compensation on behalf of the buyer. The compensation amount shall ultimately belong to the buyer, and the total compensation amount shall not exceed the settlement unit price specified in this contract multiplied by the quantity difference exceeding 0.3%
短缺/損失的百分比:海運提單上的貨物數量與卸貨港第三方檢驗機構對船上貨物發出的數量檢驗報告之間的差異在 0.3%以内,視為可接受,并由買方承擔;如果數量差異超過 0.3%,賣方應代表買方與保險公司聯系進行賠償。賠償金額最終歸買方所有,總賠償金額不得超過本合同規定的結算單價乘以超過 0.3%的數量差異。
Inspection :
A “Certificate of Quantity and Quality” shall be issued, and shall reflect the results of an inspection done at the vessel tank(s) at the loading port, by an independent and reputable inspection company/surveryor acceptable to both Parties. The findings reflected on such certificate shall be binding on both parties. Inspection costs at the loading port, including those associated with the issuance of such certificate, are for SELLER’s account. Any inspection costs at the discharge port are for BUYER’s account. SELLER shall introduce its assigned inspection company at loading port to BUYER in writing
檢驗:應頒發“數量和品質證書”,并反映雙方都能接受的獨立和信譽良好的檢驗公司/檢驗員在裝貨港對船舶罐(s)進行檢驗的結果。此類證書上反映的結果對雙方均有限制力。裝貨港的檢驗費用,包括與頒發此類證書有關的費用,由賣方承擔。卸貨港的任何檢驗費用均由買方承擔。賣方應以書面形式向買方介紹其指定的裝貨港檢驗公司。
Settlement of Dispute :
Any dispute arising from or in connection with this Contract shall be submitted to the China International Economic and Trade Arbitration Commission-shanghai for arbitration which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties
争端解決:因本合同引起或與本合同有關的任何争議,應送出中國國際經濟貿易仲裁委員會上海分會進行仲裁,仲裁應按照申請仲裁時該委員會的仲裁規則進行。仲裁裁決是終局的,對雙方均有限制力。
Force Majeure :
Any failure by a Party to comply with this terms and conditions, which is attributable solely to an event of Force Majeure, shall not be considered to be a failure of such party to perform its obligations under this agreement.
An event of “Force Majeure” for the purpose of this Article shall mean all events that is beyond the reasonable control of the Party claiming the occurrence of such event and which such Party could not reasonably have predicted and which prevents such Party from performing the obligations under this Terms and Conditions. An event of Force Majeure shall include the following events: war, civil commotion, strike, storm, tidal waves, flood, epidemic, explosion, fire, lightening, earthquake, break down of production machinary, acts of government.
The Party claiming the occurrence of an event of Force Majeure shall inform the other Party thereof in a written notice, promptly following its occurrence or commencement. If an event of Force Majeure prevents the performance of an obligation by a Party, the performance by both Parties of their obligations under this Terms and Conditions and related PI shall be suspended for a period of time equal to the duration of such event of Force Majeure, and the obligations of both Parties to perform their obligations hereunder shall resume immediately upon the termination of the event of Force Majeure.
If due to causes beyond the control of "SELLER" their ability to manufacture the product hereunder and due delivery of the cargo is diminished, "SELLER" shall be entitled to suspend or reduce delivery(ies) at SELLER’s discretion, and such suspension or reduction shall not give rise to any claim by" BUYER". However, the clause, if invoked, has to be duly justified.
不可抗力:任何一方未遵守本條款和條件,而完全歸因于不可抗力事件,不應被視為未能履行本協定項下的義務。為本條款的目的,“不可抗力”是指超出聲稱發生此類事件的一方合理控制範圍的所有事件,并且該方無法合理地預測到這種事件,并且阻止該方履行本條款和條件下的義務。
不可抗力事件應包括以下事件:戰争、内亂、罷工、風暴、海嘯、洪水、流行病、爆炸、火災、閃電、地震、生産機械故障、政府行為。聲稱發生不可抗力事件的一方應在其發生或開始後及時以書面通知通知另一方。如果不可抗力事件阻止一方履行其義務,雙方在本條款和條件下的義務的履行以及相關的 PI 的履行将暫停一段時間,該時間等于此類不可抗力事件的持續時間,并且雙方的義務在不可抗力事件終止後立即恢複。如果由于賣方無法控制的原因導緻其制造産品和傳遞貨物的能力減弱,賣方有權暫停或減少交貨(ies),并由賣方自行決定,此類暫停或減少不應引起買方的任何索賠。但是,如果調用此條款,則必須充分證明。

Language :
The English language shall be used in documents addressed by either of the parties to the other, as well as in any arbitration proceedings.
語言:任何一方發給另一方的檔案以及任何仲裁程式均應使用英語。
Failure to Exercise Rights :
Failure by either Party to exercise or enforce any of its rights under this agreement shall not prevent that Party from the future exercise or enforcement of such rights
未能行使權利:任何一方未能行使或強制執行本協定項下的任何權利,不應阻止該方未來行使或強制執行此類權利。
Charges and Dues :
According to INCOTERMS any taxation, levies, fees or charges of any nature at load port shall be at SELLER’s account . Any taxation, levies, fees, duties or charges of any nature at the port of destination shall be at BUYER’s account.
費用和關稅:根據 Incoterms,任何在裝貨港的稅收、征費、費用或任何性質的收費均應由賣方承擔。任何在目的地港口的稅收、征費、費用、關稅或任何性質的收費均應由買方承擔。
