On June 30, the first meeting of the seventh board of directors of Chinese Life was held. Executive Directors Wang Bin and Su Hengxuan, Non-Executive Directors Yuan Changqing and Wang Junhui attended the meeting on the spot; Executive Director Li Mingguang attended the meeting by telephone; and independent directors Robinson Drake Pike (White Jack), Tang Xin, Liang Aishi and Lin Zhiquan attended the meeting by video.
The meeting deliberated and passed five proposals, including the "Proposal on electing Mr. Wang Bin as the Chairman of the Seventh Board of Directors of the Company", the "Proposal on the Composition of the Special Committee of the Seventh Board of Directors of the Company", the "Proposal on the Formulation", the "Proposal on Amendment" and the "Proposal on the Amendment".
According to the "Proposal on the Composition of the Special Committee of the Seventh Board of Directors of the Company", the Audit Committee is composed of independent directors Zhai Haitao, Lin Zhiquan and Tang Xin, with Zhai Haitao as the chairman; the nomination remuneration committee is composed of independent director Tang Xin, non-executive director Yuan Changqing, independent director Zhai Haitao, with Tang Xin as the chairman; the Risk Management and Consumer Rights Protection Committee is composed of independent director Liang Aishi, executive director Li Mingguang, non-executive directors Wu Shaohua, Sheng He Taihe Wang Junhui, independent director Tang Xin, and Liang Aishi is the chairman The Strategy and Assets and Liability Management Committee is composed of independent directors Lin Zhiquan, executive directors Su Hengxuan, Huang Xiumei, non-executive directors Wang Junhui and independent director Liang Aishi, with Lin Zhiquan as the chairman; the Related Party Transaction Control Committee is composed of independent directors Tang Xin, Liang Aishi, Lin Zhiquan and Zhai Haitao, with Tang Xin as the chairman.
Among them, the qualifications of Huang Xiumei, Wu Shaohua, Sheng Hetai and Zhai Haitao have yet to be approved by the China Banking and Insurance Regulatory Commission
