On October 23, Ausnutria Dairy Co., Ltd. (stock code: 1717. HK, hereinafter referred to as "Ausnutria" or the "Company") issued an acquisition announcement, announcing that its indirect wholly-owned subsidiary, Ausnutria B.V., has entered into a share purchase agreement with Dairy Goat Holland B.V. in connection with the acquisition: Ausnutria B.V. has conditionally agreed to the acquisition, and Dairy Goat Holland B.V. has conditionally agreed to sell the shares for sale (representing 50% of the issued shares of Amalthea Group upon completion of the restructuring), The cash consideration was approximately 18.4 million euros (equivalent to 140 million yuan). Ausnutria continued to increase the layout of the whole goat milk industry chain, further build a "moat" of goat milk, and consolidate its position and advantages in the field of goat milk.
FMCG has learned that from the acquisition of the world's leading global goat milk powder B2B enterprise at that time, the Dutch century-old dairy company Hypnokai Group, in 2011, to the sales of its only goat milk brand Jiabei Aite in 2021, reaching 3.348 billion yuan, and becoming a goat milk brand exported to more than 60 countries and regions around the world, Ausnutria has participated in and promoted the continuous development and growth of the goat milk industry in the past 11 years. Now, Ausnutria has "unsheathed" again, merging and acquiring the world's leading goat cheese companies, demonstrating its confidence and determination to carry out goat milk to the end with practical actions.
According to the announcement, after the completion of this acquisition, Amalthea Group will officially become an associate company of Ausnutria, but its financial results, assets and liabilities will not be consolidated into the company's consolidated financial statements.
Founded in the Netherlands in 1990 and with a history of more than 30 years, Amalthea B.V. (hereinafter referred to as Amalthea, a subsidiary of Amalthea Group) is mainly engaged in goat milk processing and cheese making. Its processed semi soft feta cheese is mainly supplied to certain well-known Dutch and European cheese brands and Amalthea's own brand "Amalthea". It is understood that in the "cheese kingdom" Dutch sheep cheese sector, Amalthea has a market share of about 50%, with half of the Dutch sheep cheese market.
With this cooperation with Amalthea Group, Ausnutria is expected to add about 45,000 tons of fresh goat milk supply every year, and achieve 45-50% control over the source of goat milk in the Dutch market. At the same time, it helped Ausnutria's product portfolio to extend from the original goat milk powder products to cheese products, and officially entered the developing cheese consumption market. More importantly, the goat whey produced at the same time as cheese production will provide long-term, stable and sufficient raw materials for the sustainable development of Ausnutria infant formula goat milk powder Jiabei Aite.
Amalthea has cooperated with Ausnutria for many years, and has established a joint venture with Ausnutria to directly isolate whey protein and casein from liquid goat milk - DPC. It is expected that through the future cooperation with Ausnutria, we will further innovate and develop the Sino-Dutch and global markets by leveraging the global "leader" of Jiabei Aite, and work together to build Amalthea into the world's leading sheep cheese company.
Ren Zhijian, Executive Director and Chief Executive Officer of Ausnutria, said: "On the basis of mastering the resources of the world's leading industrial chain, the company has increased the supply chain of goat milk, which reflects its confidence in the goat milk industry and its determination to continue to deepen the goat milk business. With the development of the entire industry, consumers' recognition of goat milk will be further enhanced, and Ausnutria will fully consolidate the core advantages accumulated by Jiabei Aite, continue to expand the global market, and move towards "10 billion Jiabei" at full speed.
