The court held that the parties had not reached an agreement on the termination of the contract, so Huang Tingting's opinion that the parties were consensual to terminate the contract lacked factual basis and could not be established. SIBA's exercise of the right of rescission based on Huang Tingting's non-performance of the contract was in line with the agreement between the two parties, and the court upheld it. Before the expiration of the performance period of the contract, Huang Tingting failed to abide by the principle of good faith and failed to actively perform the contract, and she should bear the liability for breach of contract.
Taking into account various factors, the court held that the amount of liquidated damages of RMB 10 million required by SIBA Company to bear Huang Tingting was too high, and adjusted it as appropriate. In the end, the court ordered the parties to terminate the contract, and Huang Tingting paid SIBA 3.5 million yuan in liquidated damages.
Because Huang Tingting failed to perform within the specified period, the court included her in the list of untrustworthy defendants and restricted high consumption.
According to the law, if the consumption restriction order is violated and verified to be true, a fine or detention may be imposed; Where the circumstances are serious and constitute a crime, criminal responsibility shall be pursued in accordance with law.
