Jiwei Network News, on January 16, China Porcelain Electronics issued an announcement that the company intends to plan to purchase the operating assets and liabilities related to the RF chip business of the Gallium Nitride Communication Base Station RF Chip Business of the 13th Research Institute of China Electronics Technology Group Corporation (hereinafter referred to as "China Electronics Technology Group Corporation") by issuing A-share shares (hereinafter referred to as "GaN Communication Base Station RF Chip Business"), as well as Hebei Bowei Integrated Circuit Co., Ltd. (hereinafter referred to as "Bowei Company") held by shareholders such as China Electronics Technology 13th Institute (hereinafter referred to as "Bowei Company"). ) and part or all of the equity of Beijing Guolian Wanzhong Semiconductor Technology Co., Ltd. (hereinafter referred to as "Guolian Wanzhong") (hereinafter referred to as the "Transaction"). Due to the large number of shareholders of Bowei Company and Guolian Wanzhong, the scope of the counterparty to this transaction has not yet been finalized, and the relevant plan has not yet been finalized.

Prior to the transaction, the owner of the RF chip business of gallium nitride communication base station was China Electronics Thirteen, which held 84.16% of the shares of Bowei Company and was the controlling shareholder of Bowei Company; China Electronics Thirteen held 44.83% of the shares of Guolian Wanzhong, which was the controlling shareholder of Guolian Wanzhong, and the actual controllers of China Electronics Thirteen and China Porcelain Electronics were both China Electronics.

According to the disclosure, on January 14, 2022, China Ceramic Electronics and China Electronics 13 signed the "Equity Acquisition Intention Agreement". The specific transaction agreement shall be subject to the agreement duly signed by the parties. The transaction method of this transaction is expected to be the issuance of shares to purchase assets, and the synchronization may involve the raising of supporting funds.

The thirteen institutes of China Electronics Science and Technology have the advantage of multi-professional comprehensiveness, and the research and development involves four major fields of microelectronics, optoelectronics, micro-mechatronic systems (MEMS) and supports (materials, packaging, equipment and instruments). Products mainly have 12 categories, more than 1000 varieties, including microwave millimeter wave semiconductor devices, microwave millimeter wave analog integrated circuits and ultra-high-speed digital integrated circuits, microwave hybrid integrated circuits, microwave millimeter wave integrated modules and components and small machines, optoelectronic devices and optical integrated circuits, micro (nano) mechatronic systems (MEMS and NEMS), high-power pulse devices and their components, quantum devices and their integrated circuits, special high-reliability semiconductor devices and circuits, various semiconductor materials, various electronic packaging, Semiconductor test instruments and process equipment, etc. Its main features are high frequency, high reliability, broadband and high power, integration, miniaturization, covering the whole process of information transmission, transmission and reception, and the operating frequency is from DC to light wave band. Since its establishment, the thirteen institutes have successively created 41 domestic firsts, including China's first germanium alloy transistor, the first silicon ultra-high frequency transistor, the first silicon integrated circuit, the first gallium arsenide microwave field effect transistor, the first long-wavelength semiconductor laser, and the first gallium arsenide integrated circuit. As of 2009, more than 2,500 scientific research achievements have been made, of which 58 have won national awards and 435 have won ministerial (provincial) awards. These technologies and products have been widely used in various types of electronic information systems.

China Ceramic Electronics said that the transaction constitutes a related party transaction and is expected to constitute a major asset restructuring as stipulated in the Measures for the Administration of Material Asset Restructuring of Listed Companies, and the transaction will not lead to a change in the actual controller of the company. Trading in the Company's shares has been suspended since the opening of the market on Monday, January 17, 2022, and it is expected that the suspension period will not exceed 10 trading days.
